By accessing or using the Source Impact platform ("Platform"), including our website, mobile applications, and related services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Services.
These Terms constitute a legally binding agreement between you and Source Impact, Inc. ("Source Impact," "we," "us," or "our"). By using our Services, you represent that you are at least 18 years old and have the legal capacity to enter into this agreement. If you are using the Services on behalf of an entity, you represent and warrant that you have the authority to bind that entity to these Terms.
2. Description of Services
Source Impact is an AI-powered talent agency platform that connects:
- Talent: Influencers, athletes, actors, musicians, and models seeking brand partnerships and opportunities
- Sponsors: Brands and businesses looking to collaborate with talent for marketing campaigns
- Agents: Talent managers and agencies representing multiple creators
Our Services include profile creation, opportunity matching, deal management, escrow payment processing, messaging, AI-powered tools, and analytics. We reserve the right to modify, suspend, or discontinue any part of the Services at any time without notice.
3. Account Registration and Security
3.1 Account Creation
To use certain features of the Platform, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete. Failure to provide accurate information may result in account suspension or termination.
3.2 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account. Source Impact will not be liable for any loss or damage arising from your failure to comply with this security obligation.
3.3 Account Types
Different account types (Talent, Sponsor, Agent, Admin) have different features, limitations, and subscription tiers. You agree to use your account only for its intended purpose and in compliance with these Terms.
4. Subscription Plans, Payments, and AI Credits
4.1 Subscription Tiers
We offer various subscription plans with different features and pricing. Specific details for each tier are provided on our pricing page and are incorporated herein by reference.
4.2 AI Credits
Certain features require the use of AI Credits. These credits may be included in your subscription or purchased separately. Credits are non-transferable and expire according to the terms of your plan.
4.3 Billing
Paid subscriptions are billed in advance on a monthly or annual basis. By subscribing to a paid plan, you authorize us to charge your designated payment method for the subscription fees and any applicable taxes.
4.4 Refunds
Subscription fees are non-refundable except as required by law or as explicitly stated in these Terms. You may cancel your subscription at any time, and your access will continue until the end of the current billing period.
5. Platform Fees and Financial Transactions
5.1 Platform Fee and Commissions
Source Impact charges a platform fee on completed deals. This fee is calculated on the total deal value and is deducted from payments processed through our escrow system. For "Agent of the Internet" participants, commission structures are defined in the specific agent agreement.
5.2 Payment Processing
We use third-party payment processors (e.g., Stripe) for financial transactions. Your use of these services is subject to their respective terms and conditions. We are not responsible for the performance or security of third-party payment systems.
5.3 Escrow and Dispute Resolution
For deals processed through our escrow system, funds are held securely until milestones are completed. In the event of a dispute between parties, Source Impact reserves the right to mediate and make a final determination on the release of funds based on evidence provided.
6. User Content and Intellectual Property
6.1 Your Content
You retain ownership of content you submit to the Platform ("User Content"). By submitting User Content, you grant Source Impact a worldwide, non-exclusive, royalty-free, perpetual, and sublicensable license to use, reproduce, modify, adapt, publish, and display such content in connection with providing and promoting the Services.
6.2 AI-Generated Content
Content generated by our AI tools is provided for your use within the Platform. While you may use this content for your business purposes, Source Impact retains rights to the underlying models and algorithms.
6.3 Platform Property
The Platform, including its software, design, logos, and original content, is the exclusive property of Source Impact and is protected by intellectual property laws. You may not copy, modify, or reverse engineer any part of the Platform.
7. Prohibited Conduct
You agree not to:
- Violate any applicable laws, including those related to advertising and disclosures (e.g., FTC guidelines)
- Infringe on the intellectual property or privacy rights of any third party
- Post false, misleading, defamatory, or fraudulent content
- Engage in harassment, discrimination, or abusive behavior
- Attempt to manipulate engagement metrics or use bots/fake accounts
- Bypass any security measures or usage limits of the Platform
- Scrape data from the Platform without express permission
8. NIL Compliance and Regulations
For athlete users participating in Name, Image, and Likeness (NIL) opportunities:
- You are solely responsible for ensuring compliance with NCAA regulations, state NIL laws, and your institution's policies
- Our compliance tools are for informational purposes only and do not constitute legal or regulatory advice
- Source Impact is not responsible for any eligibility issues or penalties resulting from your use of the Platform
9. Disclaimers and Limitation of Liability
9.1 "As Is" Basis
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.
9.2 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOURCE IMPACT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.
10. Indemnification
You agree to indemnify and hold harmless Source Impact and its affiliates from any claims, damages, or expenses (including legal fees) arising from your User Content, your use of the Services, or your violation of these Terms.
11. Governing Law and Dispute Resolution
These Terms shall be governed by the laws of the State of Delaware. Any dispute shall be resolved through binding arbitration in Delaware, except that either party may seek injunctive relief in court for intellectual property infringement.
12. Termination
We may terminate or suspend your account at any time for any reason, including violation of these Terms. Upon termination, your right to use the Services ceases immediately, and we may delete your data in accordance with our Privacy Policy.
13. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes. Your continued use of the Platform after changes are posted constitutes your acceptance of the new Terms.
