1. Acceptance of Terms
By accessing or using the Source Impact platform ("Platform"), including our website, mobile applications, and related services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Services.
These Terms constitute a legally binding agreement between you and Source Impact, Inc. ("Source Impact," "we," "us," or "our"). By using our Services, you represent that you are at least 18 years old and have the legal capacity to enter into this agreement.
2. Description of Services
Source Impact is an AI-powered talent agency platform that connects:
- Talent: Influencers, athletes, actors, musicians, and models seeking brand partnerships and opportunities
- Sponsors: Brands and businesses looking to collaborate with talent for marketing campaigns
- Agents: Talent managers and agencies representing multiple creators
Our Services include profile creation, opportunity matching, deal management, escrow payment processing, messaging, AI-powered tools, and analytics.
3. Account Registration
3.1 Account Creation
To use certain features of the Platform, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.
3.2 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.
3.3 Account Types
Different account types (Talent, Sponsor, Agent, Admin) have different features, limitations, and subscription tiers. You agree to use your account only for its intended purpose.
4. Subscription Plans and Payments
4.1 Subscription Tiers
We offer various subscription plans with different features and pricing:
- Talent Plans: Starter (Free), Creator ($99/month), Professional ($199/month)
- Sponsor Plans: Explorer (Free), Business ($99/month), Enterprise ($499/month)
- Agent Plans: Solo ($49/month), Agency ($199/month), Enterprise ($999/month)
4.2 Billing
Paid subscriptions are billed in advance on a monthly or annual basis. By subscribing to a paid plan, you authorize us to charge your designated payment method for the subscription fees.
4.3 Refunds
Subscription fees are non-refundable except as required by law or as explicitly stated in these Terms. You may cancel your subscription at any time, and your access will continue until the end of the current billing period.
5. Platform Fees and Commissions
5.1 Platform Fee
Source Impact charges a platform fee of 7-10% on completed deals, depending on your subscription tier. This fee is calculated on the total deal value and is deducted from payments processed through our escrow system.
5.2 Payment Processing
We use Stripe for payment processing. A payment processing fee of 2.9% + $0.30 applies to all transactions. Cryptocurrency payments (USDC) are also supported on select networks.
5.3 Escrow Services
For deals processed through our escrow system, funds are held securely until milestones are completed and approved by both parties.
6. User Conduct
You agree not to:
- Violate any applicable laws or regulations
- Infringe on the intellectual property rights of others
- Post false, misleading, or fraudulent content
- Engage in harassment, discrimination, or abusive behavior
- Attempt to manipulate engagement metrics or purchase fake followers
- Circumvent or disable any security features of the Platform
- Use automated systems to access the Platform without authorization
- Interfere with the proper functioning of the Platform
- Collect or harvest user information without consent
7. Content and Intellectual Property
7.1 Your Content
You retain ownership of content you submit to the Platform. By submitting content, you grant Source Impact a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content in connection with providing the Services.
7.2 Platform Content
The Platform and its original content, features, and functionality are owned by Source Impact and are protected by international copyright, trademark, and other intellectual property laws.
8. NIL Compliance (Athletes)
For athlete users participating in Name, Image, and Likeness (NIL) opportunities:
- You are responsible for ensuring compliance with NCAA regulations, state NIL laws, and your institution's policies
- Our AI NIL Compliance tools provide guidance but do not constitute legal advice
- You must maintain proper disclosure of NIL activities as required by law
- Source Impact is not liable for any violations of NIL regulations
9. Disclaimers and Limitations of Liability
9.1 Service Availability
We strive to maintain high availability but do not guarantee uninterrupted access to the Services. We may modify, suspend, or discontinue any part of the Services at any time.
9.2 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOURCE IMPACT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE USE OF THE SERVICES.
9.3 Third-Party Services
The Platform may integrate with third-party services. We are not responsible for the availability, accuracy, or content of such services.
10. Indemnification
You agree to indemnify, defend, and hold harmless Source Impact and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising out of your use of the Services or violation of these Terms.
11. Termination
We may terminate or suspend your account immediately, without prior notice, for conduct that we believe violates these Terms, is harmful to other users, or is otherwise inappropriate. Upon termination, your right to use the Services will cease immediately.
12. Dispute Resolution
12.1 Arbitration
Any disputes arising from these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
12.2 Class Action Waiver
You agree that any disputes will be resolved individually and not as part of any class, consolidated, or representative action.
12.3 Governing Law
These Terms shall be governed by the laws of the State of Delaware, without regard to conflict of law principles.
13. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify users of material changes via email or through the Platform. Your continued use of the Services after such changes constitutes acceptance of the new Terms.
